Non-Circumvention Notice

Important: MoonGate provides administrative and commercial coordination services only and does not provide legal, financial, investment, banking, tax, or regulated brokerage services.
01 Purpose of This Notice
This notice sets out MoonGate's position on non-circumvention, non-disclosure, and the protection of commercial chains, mandate rights, and commission entitlements. All parties engaging with MoonGate's platform and services are bound by these obligations from the point of first engagement.
02 Non-Circumvention Obligation
By engaging with MoonGate, all parties expressly agree not to:
- Contact, approach, or transact with any buyer, seller, supplier, counterparty, or principal introduced, disclosed, or connected to a transaction through MoonGate's services, other than through MoonGate and in accordance with agreed procedures
- Attempt to bypass, exclude, or circumvent MoonGate's role, commission rights, or mandate position in any transaction
- Use information obtained through MoonGate's platform to initiate direct contact with parties beyond the scope of the coordinated transaction
- Facilitate or assist any third party in circumventing MoonGate's commercial position
03 Duration
The non-circumvention obligation applies during the period of engagement and for a period of 24 months following the last substantive interaction with MoonGate's services, or such longer period as may be specified in a signed NCNDA or commercial agreement.
04 Non-Disclosure Obligation
All parties agree to maintain strict confidentiality over: the identity of buyers, sellers, suppliers, mandated parties, and intermediaries introduced through MoonGate; deal structure, pricing, volumes, and commercial terms; KYC/KYB documents and compliance information; and internal MoonGate communications, procedures, and platform data.
05 Commission Protection
Where MoonGate has introduced or facilitated a commercial introduction that results in a transaction, MoonGate's commission entitlement is protected regardless of whether the transaction completes through MoonGate's direct involvement, provided MoonGate's introduction was the effective cause of the transaction.
06 Consequences of Circumvention
Circumvention constitutes a material breach of MoonGate's Terms and Conditions and any signed NCNDA or commercial agreement. Consequences may include: immediate suspension or termination of platform access; legal proceedings for breach of contract; and claims for damages equal to commissions lost as a result of the circumvention.
07 Formal Agreements
For higher-value or more complex transactions, MoonGate may require parties to execute a formal NCNDA (Non-Circumvention, Non-Disclosure Agreement) and/or IMFPA (Irrevocable Master Fee Protection Agreement) before material deal information is shared. This notice operates in addition to, and not in substitution of, any such formal agreement.
